These Terms of Service (“Terms”) govern your access to and use of the StandupStack website, application, and services (collectively, the “Service”), operated by StandupStack (“we”, “us”, or “our”).

By accessing or using StandupStack, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use StandupStack. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

To use certain features of StandupStack, you must create an account. You agree to:

  • Keep your account credentials secure
  • Notify us immediately of any unauthorized use
  • You are responsible for all activities that occur under your account.

3. Description of Service

StandupStack is a software-as-a-service (SaaS) platform designed to help teams manage standups, workflows, collaboration, and productivity.

4. Acceptable Use

You agree not to:

5. Subscriptions, Billing, and Payments

5.1 Paid Plans

Some features of StandupStack require a paid subscription. Pricing, billing cycles, and plan details are displayed on our website or within the application.

5.2 Recurring Billing

By subscribing to a paid plan, you authorize StandupStack to charge recurring subscription fees (monthly or annually) to your selected payment method. Payments are processed through third-party payment providers such as Stripe or other supported payment processors.

5.3 Payment Authorization

By providing payment information, you:
  • Authorize us to charge applicable subscription fees, taxes, and renewals
  • Agree that charges will recur automatically unless you cancel your subscription

5.4 Free Trials

  • If a free trial is offered:
  • You will not be charged during the trial period
  • Billing will automatically begin at the end of the trial unless you cancel before it expires.

5.5 Cancellations

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period.
No refunds are provided for partially used subscription periods unless required by law.

5.6 Failed Payments

If a payment fails due to insufficient funds or other issues, we will attempt to charge again.

If multiple attempts fail, your subscription may be suspended until payment is successful.

6. Taxes

All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes required by law.

7. Refunds

Refunds are not provided for any reason.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

You retain ownership of your data. By using StandupStack, you grant us a limited license to process your data solely to provide the Service.

9. Intellectual Property

All intellectual property rights in StandupStack, including software, branding, logos, and content, are owned by StandupStack.

You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

10. Third-Party Services

StandupStack may integrate with third-party services (e.g., Slack, GitHub, Jira, Stripe). We are not responsible for the availability, functionality, or policies of third-party services.

Your use of such services is subject to their respective terms.

11. Service Availability

We aim to provide reliable access but do not guarantee uninterrupted or error-free operation. The Service is provided on an “as is” and “as available” basis.

12. Termination

We may suspend or terminate your access if you:
  • Violate these Terms
  • Fail to pay applicable fees
  • Use the Service in a way that poses legal or security risks
You may stop using the Service at any time.

13. Limitation of Liability

To the maximum extent permitted by law:
  • StandupStack shall not be liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid by you in the last 12 months

14. Indemnification

You agree to indemnify and hold harmless StandupStack from any claims, damages, or expenses arising from:
  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights

15. Changes to These Terms

We may update these Terms from time to time. Changes will take effect when posted. Continued use of the Service constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
